You have been renting an apartment in Germany for years. Now you learn that condominium ownership (Wohnungseigentum) is being or has been established and a sale is imminent. Under certain conditions a statutory pre-emption right (Vorkaufsrecht) may exist. That is an option with deadlines and significant financial consequences. It is neither a general right to every rented apartment that is sold nor a non-binding expression of interest.
The backstory belongs to the entitlement assessment
Section 577(1) BGB ties in to rented residential premises in respect of which condominium ownership (Wohnungseigentum) was or is to be created after the letting to the tenant and which are sold to a third party. The provision excludes sales to family or household members of the landlord. [MIETERVORKAUF]
Therefore write a timeline: the date your flat was made available to you, known establishment of condominium ownership and sales already made or pending. The documents must relate exactly to your unit. A notification about the sale of the whole building does not automatically answer these questions. Nor does the mere description “Eigentumswohnung” in a new advertisement replace a review of the temporal and legal backstory.
Have the conditions for your specific case assessed in good time, especially where there have been multiple previous sales or a particular contractual arrangement. This article does not promise entitlement solely because of long duration of tenancy. It also does not deal with a general pre-emption right that might arise from a separate private agreement.
The complete notification is a separate basis
Under Section 577(2) the notification of the contents of the purchase contract must be combined with information about the pre-emption right. [MIETERVORKAUF] Section 469 governs the notification of the contract concluded with the third party and, in principle, the two-month exercise period for land after receipt of the notification. [FRIST]
Our practical recommendation is to keep a record of the date of receipt, all documents and any recognisable missing annexes. If completeness is unclear you need immediate clarification; do not simply assume a later start of the period yourself. A general enquiry about purchase intentions, a draft contract and the legally decisive notification are not necessarily the same event.
Ask the advising body to check specifically whether a right exists, which notification is present and what the latest action date to note is. A still outstanding response from the bank does not automatically stop a statutory period. The timetable for review must therefore link both questions from the outset.
Exercising a right means making a purchase decision
Section 577(3) requires the written declaration to the seller. Under the general rule of Section 464(2) the purchase comes into effect on exercise under the terms agreed with the third party, insofar as the statutory framework does not provide otherwise. [MIETERVORKAUF] [WIRKUNG]
Do not treat such a declaration as a free reservation for further negotiations. Price, agreed terms and other legal details should be read in advance with suitable advice. A particular package or ancillary service arrangement requires its own examination; this article does not derive a self-chosen part-flat sum from an overall price.
Your familiar use of the flat to date also does not replace a purchase review. You will now also be interested in the condominium’s collective documents, allocation of ownership, adopted measures and the future cost framework. What you as tenant have paid yourself so far does not automatically reflect your total financial burden as an owner.
Examine financing and personal decision side by side
For the financing discussion present the purchase and property documents actually required. Ask about a reliable decision status and outstanding conditions. In parallel check your own funds, incidental purchase costs and the ongoing costs of ownership. Having a right does not automatically make financing affordable or available.
You do not have to push yourself into an unsuitable purchase out of concern about a new owner. a possible pre-emption right and termination restrictions on conversion of rented flats under Section 577a are different protective mechanisms. [KUENDIGUNG] Which tenancy-law consequences a sale would actually have must be clarified separately; no specific local blocking period is promised here.
A hypothetical course with an open outcome
A tenant receives a contract notification and initially wants to write only “I might be interested”. In counselling she instead first clarifies entitlement, complete contents and the deadline. The bank receives the appropriate documents in parallel while she examines communal costs and her personal housing planning.
Only on this basis does she decide whether to exercise the right in the required form. The example neither sets an individual deadline nor guarantees a loan. It shows the crucial difference: under certain conditions a pre-emption right opens up a real acquisition opportunity. Whether you can and want to use it requires a conscious legal and economic decision.
