The existing contract is not replaced solely by the sale
§ 566 BGB governs, for residential premises sold after being handed over to the tenant, the accession of the purchaser in place of the landlord to the rights and obligations of the tenancy arising during his ownership. [VERTRAG] The sale alone therefore does not mean that you automatically have to sign a new agreement with arbitrarily changed content.
Our editorial recommendation: Have your complete previous tenancy agreement including amendments ready. Compare any new draft separately according to actual updates and proposed contractual changes. A different contact person or a new bank account is a different matter to a new rent amount, a fixed term or additional security. Which change can legally be required or is sensible in the specific case must be examined separately.
Distinguish a sales announcement from the transfer notice
An announced sale or a viewing appointment does not yet prove that the transfer of ownership has already taken place. Keep the complete communications you receive and note who they came from. If the status is unclear, enquire via known reliable contact channels instead of merely reacting to an unexpected payment message.
§ 566e BGB contains a special rule when the previous landlord informs the tenant that he has transferred ownership to a third party: with regard to the rent claim he must generally accept this notification against himself, even if the transfer did not take place or is ineffective. A retraction requires the consent of the designated new owner. [MITTEILUNG] You should not equate this special effect with any message from an unknown person.
Properly attribute the payee and ongoing matters
Keep a confirmed change of contact details or payee with the contract documents. If two requests do not agree, clarify the contradiction promptly. An unfounded double payment or an independently assumed complete payment stop are not a good organisational substitute for an unresolved rent claim.
Continue to pursue ongoing everyday matters at the same time: already reported defects, promised appointments and outstanding billing issues should not disappear into a general message about the sale. Provide the now responsible contact with the necessary previous case. Distinguish a already confirmed arrangement from a mere wish that the former contact person had not yet answered.
The existing deposit remains a separate matter
Under § 566a BGB the purchaser succeeds to the rights and obligations arising from a provided rent security. If the tenant cannot obtain the security from the purchaser at the end of the tenancy, the previous landlord remains obliged to refund it under the provision. [KAUTION] A change of owner is therefore not automatically a reason to pay the same cash deposit again without further clarification.
Secure your original proof of payment or security and any information received about its continued status. If a payout and re-deposit are proposed, have the concrete arrangement and its consequences examined. An incidental message that the parties have settled everything among themselves does not replace your own comprehensible documentation.
Example: Three changes arrive in one letter
Fictitiously, a female tenant receives a letter with a new administration, a new rent account and an allegedly only updated contract draft. The draft additionally contains a previously unagreed fixed term. She therefore separates the contact and payment issue from the proposed contract change and has the latter examined. The signing is not treated as necessary simply because the covering letter mentions the change of ownership.
Special claims and terminations should be examined separately
This article does not assess a specific notice for personal use (Eigenbedarf) nor a conversion, a possible pre‑emption right or an acquisition in a foreclosure sale. Such questions require their own legal classification. A new owner person does not in itself create a blanket obligation to leave the flat immediately.
Your sensible working status comprises the existing contract, the complete transfer notice, clarified payment details, deposit proofs and still open matters. With that you can continue to act in everyday life without equating every new demand with the actual change of ownership.
