The presentation shows a house and a price. In the proposed contract, however, you are to acquire shares in the company that owns the house. Before committing you must understand which right is the subject of the transaction and why the review cannot end at the visible rooms.
The company is a separate legal entity
§13 GmbHG describes the independent rights and obligations of the GmbH and its ability to hold real estate. §15 deals with the transfer of company shares and their notarial form as well as possible additional contractual requirements in the articles of association. [GESELLSCHAFT] [ANTEIL]
A purchase of shares is therefore not the same immediate purchase of real estate simply because the house is shown. Have the offered object, the ownership structure and the intended position explained by appropriate legal and tax advice. This overview does not assess any specific company and is not a recommendation for a transaction model.
Do not only examine the property
Our editorial recommendation: make your actual objective clear. Do you want to live there yourself, take over a business with its assets, or hold an interest as an investment? What rights do you expect from the shares and what decision-making position should you receive?
Ask the specialist advisers to define a suitable scope of review for the entire proposed transaction. This includes the question of which corporate, contractual, financing and other documents are required. A technical inspection of the house remains useful, but it does not answer the full question about the company and its obligations.
Hypothetical case: the familiar property conceals unknown corporate relationships
An interested party knows the house well and believes they can simply pay all the shares as if they were the purchase price for this property. They do not yet have verified information about other contractual relationships and the company’s obligations.
They therefore have the proposed transaction independently explained and the actual scope of review determined. The article does not assume hidden debts. It shows why knowledge of the house is not automatically the same as knowledge of the corporate object being offered.
Consider price and required funds appropriately
Ask what the stated payment includes and what additional funds will be needed after the planned transaction. A share price and an alleged property valuation are different figures. Have their connection explained on the basis of the actual company situation.
The article promises no tax saving and no exemption from liability. Even a bank valuation for an ordinary house purchase must not be transferred unquestioningly to the purchase of shares. Financing must be aware of the actually intended object and the securities.
Clarify personal use separately
If you want to live in the house privately, the legal basis for this must be explained. The hoped-for control of a company and a specifically secured personal right of use are not the same issue. The article does not set out a suitable contractual design for this.
In the end you should be able to state what you are acquiring, what position follows from it and which complete review is still missing. If the offer sounds economically like a simple house purchase but legally concerns a business or company shares, that exact discrepancy must be resolved before committing.
