You are to acquire a share in a property project. A presentation quotes an expected available project amount and your percentage participation. Before your own return can be calculated from this, the contractual payment order must be established. Only a remainder after priority positions can be distributable according to a specific quota.
Read the model solely as a fictional agreement
The following order is entirely fictional and makes no statement about customary or legally effective participation terms. A real contract requires independent legal and economic review. The designation of a position does not alone determine its actual rank or enforceability.
In the learning example, 30.000 Euro of liquidity are available before the financing and preferred payments that are explicitly not yet deducted here. First, 8.000 Euro are paid to the financing bank. Afterwards another participant group receives, by agreement, a 10.000 Euro preferential payment. Only the remaining amount is distributed among a further group, in which you are modelled as holding a 25 percent stake.
From the project funds to your own return
After the bank payment, 22.000 Euro remain. After the preferential payment, 12.000 Euro remain. Of that, 25 percent equals exactly 3.000 Euro for you. If you applied 25 percent directly to the initial 30.000 Euro, you would get 7.500 Euro. That would not correspond to the order assumed here.
The difference of 4.500 Euro is not vanished money and is not proof of an accounting error. It arises from the incorrect base of reference in the first calculation. Whether the fictional priorities would be economically attractive for you is a different question.
Using a weaker project amount
If only 15.000 Euro are available under the same assumed rules, 7.000 Euro remain after the bank payment. That is already insufficient to fully cover the preceding 10.000 Euro position. In this model nothing remains for the group subordinated to the remainder and for your share therein.
What happens with the uncovered preferential position is not specified here. Carry-forwards to subsequent years, claims, further contributions or other consequences would have to be clarified in the actual contract. The calculation does not invent an automatic rule for this.
Demand the correct basis before deciding
For a real participation, request a comprehensible presentation of all tiers and an explanation of which payments are already included in the stated opening liquidity. The same expense must not be deducted twice. Also check whether a payment would be a return of capital or new income.
Your financing plan then only adopts the personal return that can be followed from the specific order, together with its actual uncertainty status. A participation quota alone neither confirms a proportional claim on every project payment nor a personal return.
