The plot for your German house project is only presented to you together with a specific construction offer. The purchase of the plot is to be notarised by the notary; you are to sign the construction contract separately beforehand. Before you treat the two transactions as independent, their actual connection requires a joint legal review.
This article concerns the preparation of linked acquisition and construction contracts. It does not turn every private construction plan into a developer contract (Bauträgervertrag) nor declare any particular arrangement already invalid.
Describe the offered overall model
Our editorial recommendation: Gather all offered contract versions, service descriptions and communications about the linkage. Name the plot seller, the construction company, site supervision and other parties involved with their respective roles. Also disclose any orally stated conditions: do you actually only get the plot if you award exactly this contract?
A separate letterhead does not answer the question of the legal connection. Likewise, a joint advertisement alone is not sufficient for a final classification. Decisive for the professional mandate is the transaction actually intended with its dependencies. Do not reduce this description to the supposedly simpler single document.
Have the form question checked before the first signature
Section 311b paragraph 1 BGB requires notarisation of the obligation to acquire or transfer a plot of land. [GRUNDSTUECK] If further agreements belong to the transaction, the advice must examine which connection exists legally and what must be included in the notarisation.
In judgment 21 U 126/19 the Kammergericht addresses the purchase of a co-ownership share with associated site supervision services. For the legal unity there, both contracts had to be notarised. Where only the purchase was notarised and the accompanying contract was private text, in doubt both contracts were void. [KG] No blanket conclusion for every house contract follows from that. The case, however, shows why a mere separation of documents does not replace the review.
Do not rely on a later automatic cure
Section 125 BGB governs the statutory starting point where a prescribed form is missing. Section 139 contains a framework for partial invalidity that also takes into account the hypothetical will of the parties. [FORM] [EINHEIT] A self-formulated sentence “The contracts apply independently” is therefore not a solution confirmed by this article.
Also have explained whether and how a required arrangement is to be implemented before a binding declaration. The remedial framework in section 311b paragraph 1 is no reason to consciously bear the risk of an unresolved conclusion up to the transfer of ownership. [GRUNDSTUECK] This article does not assess any payment already made nor does it promise a later reversal.
Hypothetical case: construction order first, then the plot
A family is to sign the order for a specific house provider for an offered parcel first. The contact person explains that the plot documents will then go to the notary. Without this specific plot the family would currently have no reason to place this particular construction order.
They therefore submit both drafts and the message about the required sequence together for advice. Before the first signature they have explained which actual bindings would exist, which form is required and what should happen if part fails. The case does not establish contractual invalidity. Its guidance is to address the connection before the first signature.
Check follow-up questions on the same basis
After the legal classification, scope of services, payment protection, financing and deadlines must match the actual model. Use case-specific advice for this. Any particular tax treatment or the applicability of a security model is not derived here from the form question.
Your outcome should name all intended contracts and their clarified relationships. If the plot acquisition depends on a construction order, this dependency remains visible in the document folder. It should not only be mentioned once different payment obligations or a dispute about the entire project have already arisen.
