A company enquires about an apartment for employees. That can be an interesting letting opportunity, but it raises different questions than a clearly formulated enquiry from a person for their own household. For preparation in Germany you should above all distinguish between contracting party, paying party and actual occupants. This article structures that clarification; it does not finally classify the specific contract as a residential tenancy or some other tenancy relationship.
First understand the intended model
Ask whether the company itself wants to become the contracting party or whether a particular employed person is to rent and merely receive support. Who communicates, who intends to pay and who is to live there are three different pieces of information. A company name in the enquiry does not automatically answer all three questions.
§ 535 BGB describes the obligations between landlord and tenant. § 267 BGB additionally deals with services by third parties under its conditions. [BGB] Even this distinction is a reason not to derive the intended contractual status solely from the name on a payment. The exact design will be examined on the basis of the actual agreement.
Have the intended use described concretely
Clarify for which persons and which intended sequence the apartment is needed. Will the same occupants remain, is a regular turnover expected or is that still unclear? You do not need an unorganised private personnel file, but a comprehensible description of the intended use.
Record which rooms and existing items are intended for that purpose. A company can mean a different procedure by the term “accommodation” than you do by a permanently used apartment. This difference should become visible before a contract draft.
The legal advice then classifies the actual constellation. The title of an existing form is not used as a substitute for the review. This article neither claims that every corporate tenancy is the same contract type nor uncritically transfers all rules of an ordinary private residential tenancy to the desired model.
Link subletting and occupant changes to the contract
If a contracting party intends to hand over the rooms to other persons, this question needs explicit clarification. § 540 BGB regulates the handing over of use to third parties and the scope of permission. [BGB] Which specific arrangement and, if applicable, which further provisions are relevant must fit the intended model.
Also discuss the organisational procedure in the event of an occupant change: who informs, which assignment is required and who is responsible for handover and return? An organisational message about a new name does not imply the legal permissibility of any use as promised by this article.
Example: Human resources only organise the first contact
In the fictional initial case, a human resources department gets in touch about a new employee. In conversation it emerges that the company does not want to rent. It simply wants to help with the search and contribute part of the financial need.
The letting party therefore does not unthinkingly draw up a contract in the company’s name. They have the desired arrangement and the appropriate payment method clarified. The contact person for the first enquiry does not automatically become the person permanently responsible for all later contractual matters.
Do not rely on communication and payment for mere good impression
Agree a reliable contact for ongoing questions and a suitable route for formal procedures. For a company, responsibility and required authority to represent should be clarified on the basis of appropriate information. A friendly business e-mail alone does not replace this classification.
Check the actual payment process and the contractual basis intended for it. This guide does not certify solvency or the company’s liability and does not recommend blanket additional security. If documents are needed for verification, they will be obtained to the necessary extent and by a suitable route.
Only switch to the appropriate version after model clarification
Before making a commitment the essential questions should fit together: who rents, who uses, who pays and what use is actually agreed? In addition there is the professional clarification of the legal framework and any further local requirements.
This way the company enquiry remains an objectively examinable possibility. It will neither be rejected prematurely nor treated as particularly easy or secure solely because of the company name. The decisive step is a comprehensible concrete arrangement that is understood equally by all parties and examined appropriately.
