The land register or the sales documents of an Austrian property show a right of pre-emption (Vorkaufsrecht). You still want to buy and wonder whether you can already align a loan agreement or your move to it. Such a right is not merely a historical note that you can ignore in your planning. At the same time it does not mean that the entitled person can demand the property at any time at a freely chosen price. First the basis and the specific acquisition transaction must be read together.
Which right is actually at issue?
This article deals with the civil-law right of pre-emption under the Austrian ABGB. Special statutory or public-law rights are not fully explained by this. German pre-emption rules are also not part of this assessment.
§ 1072 ABGB describes the reservation of having to offer redemption in the event of a later resale. § 1073 distinguishes the generally personal right from one that has a proprietary effect by land-register entry. [GRUNDLAGE] [EINTRAG] For the assessment you therefore need more than the headline in the listing: the current land register status, the underlying document and the planned purchase contract with its conditions. Our practical recommendation is to have these documents reviewed together by the legal adviser or the contract-drafting body.
Don’t just compare the purchase price
A superficial question is: Would the entitled person pay the same amount? That is not sufficient as a working basis. § 1077 generally names the full price offered by a third party and includes additional conditions; for ancillary conditions that are not fulfilable and cannot be compensated by an estimated value, the provision sets a limit on exercise. [BEDINGUNGEN]
Therefore collect the full planned contract content. This includes, for example, payment dates and separately described services. Have the legal significance assessed; do not invent an ancillary performance to exclude the right. If the contract changes during negotiations, the corresponding assessment must also be brought up to date.
Do not calculate a deadline from a casual conversation
§ 1075 ABGB provides for a redemption period of thirty days for immovables after an offer has been made. [FRIST] That is not a recommendation to start a private thirty-day clock from the first telephone call. Which declaration with which full content constitutes an effective offer in the specific case and which agreement must additionally be observed belongs in the legal handling.
Record for your planning who is handling the relevant procedure, which version applies and which proof of the further status should be provided. A statement such as the person already knows is not an equivalent substitute for a reviewed completion. A presumed lack of interest also does not become your own confirmation of free executability.
Describe the contractual case correctly
The OGH explains in 6 Ob179/18v the distinction between a sale and other forms of disposal and the significance of a particular extension of the right of pre-emption. The case concerned a donation to a foundation and the question of an annotation of dispute; it does not confirm a blanket circumvention possibility by choosing a different contract title. [OGH] For your ordinary purchase the main takeaway is: wording and actual transaction must legally match. A transaction described as a donation is not a simple substitute route for an unclear sale procedure.
Plan financing and moving as conditional
Our editorial recommendation is to keep outstanding steps visible in a sequence plan. What has already been contractually agreed, what still needs to be checked and which action should only take place after which proof? Discuss with the financing partner how temporal uncertainties are handled in the specific offer. This article does not promise a free postponement or a special exit option.
Do not book irreversible moving services solely on the expectation that no one will exercise the right. The same applies to a firmly promised handover date to third parties. The solution lies in a suitably designed and actually coordinated purchase settlement, not in an optimistic marginal note.
An illustrative purchase process
An interested buyer learns of a registered right in favour of a former owner. They initially only want to have the purchase price communicated. After reviewing the documents, however, an agreed later payment and a particular ancillary performance are also treated as needing clarification. The responsible body organises the legally required steps on the basis of the complete version.
Until the understandably clarified status is reached, the financing drawdown and handover remain dependent in their schedule. The example does not predict whether the right will be exercised, nor does it decide the effectiveness of a specific letter. It shows what preparation you can do yourself: complete documents, clear roles, verifiable intermediate statuses and planning that does not simply skip another person's right.
