You are pursuing a house project together and have chosen a name for it. In the next message it says the GesbR will buy. Personal names, common purpose and later ownership quickly merge into a single notion. Before the purchase offer, financing and contract, a clarified acquisition structure is needed that fits Austrian legal circumstances.
The name does not create a legal purchaser
§1175 ABGB describes the Gesellschaft bürgerlichen Rechts and expressly states in para 2 that it is not legally capable. [GESBR] The community name must therefore not be adopted into further preparations unchecked as if it were the designation of an independently legally capable purchaser.
Have it legally explained who is to acquire which position and enter into which obligations in the planned transaction. This article does not determine a suitable company or form of ownership for you. It points to the fundamental question that a jointly chosen project name does not yet answer.
Express the roles actually planned
Our editorial recommendation: Each participating person should first describe their own objective. Do they want ownership, a certain use, influence over decisions or merely a financial stake? Which of these objectives should be realised simultaneously?
The answers may differ. It becomes problematic when everyone uses the same communal word but actually expects different legal positions. One person may, for example, expect sole later disposal, while another presupposes a permanent co-decision right. Such expectations belong before the structuring and not later in a dispute.
Advise on the partnership agreement and property acquisition together
An agreement on cooperation does not replace an examination of the concrete property transaction. Ask the specialist advice to coordinate company-related arrangements, the acquisition object, personal obligations and financing.
Ask explicitly who may later decide on essential steps on what basis and how changes in the circle of participants would be dealt with. This is not about a self-drafted exit or liability clause. You need a design appropriate to the chosen model. The article does not transfer German eGbR register rules to Austria.
Hypothetical case: One participant thinks only of an investment
Three people speak of their “house GesbR”. Two want to live there themselves. The third only wants to contribute money and later receive an available equivalent. All assume the community name already governs this difference.
In the consultation it is first disclosed that the desire to use, the notion of ownership and the assumption about return flow diverge. Only afterwards can a suitable model be examined. The example does not recommend any particular form and does not calculate any later claim. It prevents a shared name from concealing incompatible expectations.
Convey a consistent acquisition status
Once the structure has been professionally clarified, purchase documents and financing must work with exactly this status. An older overview with different participants or an incorrect purchaser designation must not continue to run silently in parallel. Keep open which structuring still needs to be prepared. A viable joint project begins with understandable factual rights and obligations, not with the right abbreviation after a name.
